This is a legal agreement between you (an individual) and CBT Vision Inc. for our software product, which includes computer software and updates and may include "online" or electronic documentation and associated media and printed materials (the "Software"). BY BREAKING THE SEAL ON THE SOFTWARE ENVELOPE CONTAINING THE SOFTWARE MEDIA OR BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS AGREEMENT.

CBT Vision Inc.Software License

1. Grant of Single-User License. CBT Vision Inc. grants to you (AN INDIVIDUAL) a single-user, non-exclusive, non-transferable license to use this copy of the enclosed CBT Vision Inc. Software, on a single computer. You may not install this copy of the Software on a network server or allow it to be used by multiple users. Should you wish to install the Software on a network server or allow any other user or multiple users to run the Software, you must purchase a network or multiple-user license for the Software.

2. Copyright. This product, including the program and any accompanying manual, is copyrighted. You may install the Software on your hard disk and/or make an archival copy, but the program and manual may not, in whole or in part, be copied, photocopied, reproduced, translated or reduced to any medium, electronic or otherwise, or machine readable form without prior consent, in writing, from CBT Vision Inc.

3. No Transfer. You may not sell, rent, lease, sublicense, disclose or otherwise transfer the Software or the documentation, in whole or in part, to any third party.

4. Terms. The terms of this Agreement and the license granted to you pursuant to this Agreement shall commence upon opening of the Software package or upon installation, copying or use of the Software and shall terminate upon your discontinuing the use of the Software.

5.Title. Title in and to the Software and documentation remain exclusively in possession of CBT Vision Inc., subject to the express, limited and non-exclusive license granted to you pursuant to this Agreement.

BY YOUR OPENING OF THE SOFTWARE PACKAGE OR BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THE FOREGOING AND THAT YOU AGREE TO BE BOUND THEREBY.
